1. Acceptance of Terms
By accessing or using our website at www.globaliqservices.com or engaging our services, you confirm that you are at least 18 years of age, have the legal authority to enter into these terms, and agree to be bound by them. If you do not agree, please do not use our website or services.
2. Services
Global IQ Services provides technology consulting, AI development, Salesforce solutions, enterprise application development, and related digital services ("Services"). The specific scope, timeline, and deliverables of any engagement will be defined in a separate Statement of Work or Service Agreement entered into between the parties.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.
3. Intellectual Property
Unless otherwise agreed in writing:
- All pre-existing intellectual property belonging to either party remains the property of that party.
- Work product developed specifically for a client under a paid engagement, upon full payment, becomes the property of the client.
- All website content, branding, and proprietary frameworks owned by Global IQ Services remain our exclusive property and may not be reproduced without written consent.
4. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information necessary for us to deliver the Services.
- Designate an appropriate point of contact and respond to requests in a timely manner.
- Ensure all materials provided to us do not infringe on any third-party rights.
- Make payments according to the agreed schedule.
5. Payment Terms
Fees for services are specified in individual service agreements or statements of work. Unless otherwise agreed:
- Invoices are due within 30 days of the invoice date.
- Late payments may be subject to interest charges at 1.5% per month.
- We reserve the right to pause or terminate services for accounts with outstanding balances.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the service relationship. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Global IQ Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by you to us in the three months preceding the claim.
8. Warranties and Disclaimers
Our website is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the website will be error-free, uninterrupted, or free of harmful components. For paid services, we warrant that we will perform them with reasonable skill and care consistent with industry standards.
9. Termination
Either party may terminate a service engagement as specified in the relevant service agreement. We reserve the right to terminate access to our website for users who violate these terms. Upon termination, provisions regarding intellectual property, confidentiality, payment obligations, and limitation of liability shall survive.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Delaware.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page with an updated "Last updated" date. Your continued use of our website or services after any changes constitutes acceptance of the revised terms.
